By using the Nexgentester.com website, or any services of ITPlusPoint Pvt Ltd., you are agreeing to be bound by the following terms and conditions ("Terms of Use").Please carefully review the terms and conditions set forth below (as they may be amended from time to time, the “Terms of Use”) before using the Nexgentester.com web site (the “Site”). The terms “You”, “Your”, “User”, or “Users” refer to anyone accessing our services or the Site for any reason including, without limitation, a company or individual representing a business that registers to have its software tested through the services offered on the Site (each, a “Company”), or a person who registers with Nexgentester to become a software tester (a “Tester”) or anyone else who accesses the Site. The terms “Nexgentester”, “We”, “Us”, or “Our” refer to Nexgentester Inc. Your use of the Site is conditioned upon your acceptance of and compliance with the terms, conditions, restrictions and notices contained herein. Nexgentester may amend or modify these Terms of Use without notice at any time by updating this posting. Your continued use of the Site after any amendments or modifications to the Terms of Use constitutes your agreement to be bound by all such amendments or modifications.
Non-Disclosure of Confidential Information: We strive to create a transparent fair playing field for all Nexgentester users. That’s why we insist that all users (customers and testers alike) use valid email addresses, use their real names, and agree to never disclose information about other Nexgentester users. For example, testers are not permitted to share information about Nexgentester customers, their applications or any testing results of Nexgentester web properties (e.g., our private tester forums or our platform). This means no talking on Facebook™, Twitter™, blogs, forums, media or any other digital media about Nexgentester customers or their apps. Likewise, customers cannot share information about testers via Nexgentester media.
Site Restrictions: No User shall submit, upload to, distribute through or otherwise post to the Site (including any Interactive Feature) any material that: (a) Is libelous, defamatory, threatening, abusive, scandalous, obscene, pornographic or unlawful or that encourages a criminal offense; (b) Contains any advertising, promotional, solicitation or other commercial material, including the uniform resource locator (“URL”) of a User’s own website, unless the website in question relates directly to a project on the Site; notwithstanding the foregoing, Users may post the URL of a website containing a portfolio of sample works or the User's résumé; (c) Contains material from other copyrighted works without the written consent of the owner of such copyrighted material, other than reasonable excerpts permitted under the copyright doctrine of fair use; (d) Infringes any copyright, trademark or patent, incorporates any material that constitutes a trade secret of a third party, or violates any property rights, rights of privacy or publicity or any other rights of any third party; (e) Contains any statement, formula, direction, recipe, prescription or other matter that involves a reasonably foreseeable risk of injury or damage to the material’s readers or others; or (f) Contains any software viruses or any other code, file or program that is designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment or to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
Any Company making use of the Site hereby acknowledges and agrees that, with respect to testing services, Nexgentester functions as an intermediary connecting Companies with Testers to evaluate and provide software testing services. Nexgentester makes no representations or warranties, unless expressly provided, as to the quality of services provided by the Testers. No guarantee is given that any or all test artifacts (such as, but not limited to, bugs, test cases, test data, test scripts, and other test artifacts implemented by Nexgentester from time to time, collectively, “Test Artifacts”) in connection with a Company’s software will be found, diagnosed, or resolved as a result of engaging Testers through the Site. Nexgentester DOES NOT GUARANTEE THE PARTICIPATION OF A MINIMUM NUMBER TESTERS, REPORTED OR APPROVED TEST ARTIFACTS, OR COVERAGE PERFORMED BY THE TESTER COMMUNITY. Unless you explicitly notify Nexgentester otherwise in writing, Nexgentester may display your company name, logo and public description on the Site or in other Nexgentester marketing materials.
By registering as a Tester, you acknowledge and agree that you are an independent contractor and not an employee of Nexgentester. As an independent contractor, you are not entitled to participate in any employee benefits provided from time to time by Nexgentester to its employees. You are responsible for providing and maintaining all computer equipment and Internet connectivity necessary for the performance of your duties as a Tester. Nexgentester is not obligated to provide any training, technical or administrative support or other assistance in connection with your duties as a Tester. Nexgentester does not guarantee that you will be assigned to any minimum number of software testing projects/cycles. Likewise, you may, in your sole discretion, elect to accept or decline to participate in any software testing project to which Nexgentester invites you. In the event that you accept a software testing project from Nexgentester, you will be informed of the deadline for the completion of the project. You will be responsible for determining when and how to perform the necessary testing services in order to meet the specified deadline for the project.
Your status as a Tester does not preclude you from working as an independent contractor or employee of any other entity. You hereby represent and warrant to Nexgentester that your provision of software testing services as a Tester will not violate any contract or agreement to which you are, or may become, bound, including, but not limited to, any employment agreement, services agreement, non-competition agreement or confidentiality agreement, whether or not reduced to writing.
You agree not to solicit (other than by general advertisement), or hire, any employee or subcontractor of Nexgentester (including, without limitation, any Tester which performs testing services for Nexgentester) either on behalf of Your Company, or on behalf of any other company during the term of this Agreement and for a period of one year thereafter.
Limitations on Communication between Users:
Except for communications between Companies and Testers regarding projects for which the Testers are providing testing services to the Company, you are prohibited from making direct contact or engaging in any transaction, including commercial transactions, with other Users, whether through the Site or otherwise. Companies and Testers agree not to post their e-mail address, phone number, or any other method of contact Nexgentester of the Site or give any of the foregoing information to another User. Testers and Companies working together on a project shall be provided with all of one another’s' necessary contact information.
Rights in Site Content:
Unless otherwise indicated, the Site Content, including all images, illustrations, icons, designs and written and other materials that appear on the Site are copyrights, trademarks, trade dress or other intellectual property owned, controlled, or licensed by Nexgentester or its affiliates or are the property of their respective owners and are protected by international copyright laws and conventions. Accessing the Nexgentester.com web site does not authorize Users to use any name, logo, trademark or service mark in any manner. Permission is granted to display, download and print in hard copy format other resources of the Site solely for the purpose of using the Site as an internal or personal business resource. None of the resources may be copied, reproduced, distributed, republished, downloaded, displayed, posted electronically or mechanically, transmitted, recorded, in any manner mirrored, photocopied or reproduced without the prior written permission of Nexgentester or the applicable owner.
